9.0 New Leaf Finance Platform Overview

9.1 Overview

New Leaf manages its Fund (and its investments generally) via its blockchain equities “Platform”. The Platform is a wholly self-contained blockchain ecosystem that is bespoke for security tokens with full regulatory compliance.

For each investment (Project) the Fund creates a new unique security token that facilitates the secure, transparent, auditable and sophisticated management of its investment position (such as equity holdings, dividend rights, royalties etc.). The flow of benefits (tokenomics), in its simplest form, is highlighted by the following diagram:

9.2 Security Token (Private) v’s Utility Token (Public)

New Leaf has established a ‘bespoke’ structure which offers the specific benefits of a secure, private, auditable Security Token held by the Fund Platform in the Project. This is a private relationship and forms the legal and financial relationship between the Project and the Fund.

Quite separately, the Fund will create ‘public’ Utility Token, NLF, which will represent each investor’s interest in the Fund and which, as a utility token, is freely tradeable on the variety of exchanges upon which New Leaf will list NLF tokens.

The private Security Tokens and the public Utility Tokens are, therefore, unrelated.
